End-User Licence Agreement and Terms of Use

These End-User Licence Agreement and Terms of Use (Terms) govern access to and use of the KPMU AI Finance Assistant and its related finance portal (the Service). The Service is operated by KPMU University College (KPMU, we, us or our). By accessing the Service, you confirm that you are an authorised KPMU user and agree to these Terms.

The Service is an internal finance reporting, control and evidence system. It is not offered for public accounting, commercial resale or use by unauthorised third parties.

KPMU grants authorised users a limited, revocable, non-exclusive and non-transferable licence to use the Service solely for approved KPMU duties. KPMU retains all rights not expressly granted under these Terms.

An authorised user must not copy, sell, sublicense, reverse engineer, bypass security controls, introduce malicious code, scrape data, interfere with the Service or use it for an unlawful or unauthorised purpose.

The Service may connect to an authorised QuickBooks Online company through Intuit OAuth. The approved production design is read-only: it may retrieve authorised accounting data, prepare reports, analyse results, flag anomalies, create portal evidence and generate controlled exports.

The Service must not post, edit or delete QuickBooks records; reconcile accounts; approve transactions; create invoices, bills or journals; initiate payments or bank transfers; or change QuickBooks user access. QuickBooks posting actions remain fixed at zero unless KPMU separately approves, builds and tests a controlled posting capability.

Reports, summaries, forecasts, alerts and AI-assisted outputs support decision-making but do not replace the judgement of KPMU management, accountants, auditors, tax advisers or legal advisers. Authorised personnel must verify source data and outputs before relying on them.

Every accounting entry, approval, reconciliation, payment, filing and access change remains the responsibility of an authorised human officer using the relevant source system.

Users must use their own authorised account, keep credentials confidential, follow least-privilege and multi-factor authentication requirements, and promptly report suspected unauthorised access. Shared administrator credentials are prohibited.

KPMU may monitor access, maintain audit evidence, end inactive sessions, restrict permissions, suspend access or remove a user when necessary to protect the Service, KPMU, Intuit or affected persons.

Users must treat all finance, personal, supplier, customer, employee, governance and access-control information obtained through the Service as confidential. Users may access, use and export only the information needed for an approved KPMU purpose.

Use of personal information is also governed by the KPMU AI Finance Assistant Privacy Policy and applicable Zambian law.

The Service depends on third-party services including Intuit QuickBooks Online, Microsoft Azure and managed database infrastructure. Those services are governed by their own terms and may change, suspend or experience interruptions outside KPMU's reasonable control.

QuickBooks and Intuit are trademarks of Intuit Inc. KPMU is not Intuit and does not control Intuit's services.

KPMU aims to operate the Service securely and reliably but does not guarantee uninterrupted or error-free availability. To the extent permitted by law, the Service is provided for authorised internal use without warranties that are not expressly stated in these Terms.

Users must follow approved backup, validation, incident-response and rollback procedures and must not treat the Service as the sole record of any accounting transaction.

To the extent permitted by applicable law, KPMU is not liable for loss caused by unauthorised use, failure to verify an output, inaccurate source data, third-party service interruption, credential compromise or conduct outside KPMU's approved controls. Nothing in these Terms excludes liability that cannot lawfully be excluded.

KPMU may suspend or terminate access when a user leaves KPMU, changes role, breaches these Terms, creates a security risk or no longer has a legitimate business need. On termination, the user must stop using the Service and return or securely dispose of KPMU information as directed.

These Terms are governed by the laws of the Republic of Zambia. The courts of Zambia have jurisdiction, subject to any mandatory dispute-resolution requirement under applicable law.

KPMU may update these Terms when the Service, legal requirements or operating controls change. The current version and effective date will remain available on this page.
